1. Acceptance of Terms

Welcome to My Grant CoPilot ("Service", "Platform", "we", "us", or "our"). By accessing or using our AI-powered grant writing platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between My Grant CoPilot and you ("User", "you", or "your"). By clicking "I Agree", creating an account, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

My Grant CoPilot is operated by Ira Revels Consulting, LLC. References to "we", "us", or "our" in these Terms refer to Ira Revels Consulting, LLC.

2. Eligibility

You must be at least 18 years old to use this Service. By using our Platform, you represent and warrant that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction
• You have the legal capacity to enter into binding contracts
• You are using the Service for lawful purposes only
• All information you provide is accurate and up-to-date

3. Description of Service

My Grant CoPilot is a Software as a Service (SaaS) platform that provides AI-powered assistance for grant research, writing, and application management. Our Service includes:

• Grant discovery and matching tools
• AI-assisted grant proposal writing
• Application tracking and management
• Templates and resources for grant writers
• Collaboration tools for teams

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Not share your account with others
• Log out from your account at the end of each session

5. Subscription Plans and Fees

5.1 Subscription Tiers

We offer multiple subscription tiers with varying features and pricing. Current subscription plans include Discover, Execute, Scale, and Partner tiers. Pricing and features are subject to change with notice.

5.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are non-refundable except as required by law. You authorize us to charge your payment method for all fees incurred.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

6. AI-Generated Content

6.1 Nature of AI Content

Our Service uses artificial intelligence and machine learning technologies to generate grant proposals and content. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or require human review and editing.

6.2 User Responsibility

You are solely responsible for reviewing, verifying, and approving all AI-generated content before submission. We make no guarantees regarding the success of grant applications or the quality of AI-generated content.

6.3 AI Compliance Disclosure

The AI tools provided through the Service are assistive instruments, not a substitute for professional grant writing, legal counsel, or financial advice. All AI-generated content must be reviewed and verified by you before submission to any funder. You are responsible for confirming the accuracy, completeness, and truthfulness of every claim, statistic, and statement produced with AI assistance.

7. User Content and Intellectual Property

7.1 Your Content

You retain all rights to the content you create, upload, or submit to the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing and improving the Service.

7.2 Our Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by My Grant CoPilot and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon the rights of others
• Upload viruses, malware, or malicious code
• Attempt to gain unauthorized access to the Service
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers and Limitations of Liability

10.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MY GRANT COPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall Ira Revels Consulting, LLC, its products including My Grant CoPilot, or subsidiaries be held liable for damages exceeding the amount paid by you to Ira Revels Consulting, LLC in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ira Revels Consulting, LLC, its products including My Grant CoPilot, and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of Ira Revels Consulting, LLC or My Grant CoPilot, violation of these Terms, or infringement of any rights of another party.

12. Payment Processing

Subscription payments are processed by Stripe, Inc. under Stripe's own terms of service and privacy policy. Ira Revels Consulting, LLC does not store your full payment card details. Any disputes regarding payment processing should be directed to Stripe or to Ira Revels Consulting, LLC at support@mygrantcopilot.com.

13. No Professional Advice

My Grant CoPilot is a writing and research tool. It does not constitute legal, financial, or grant consulting advice. You should consult qualified professionals before making decisions based on content generated through the Service.

14. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time through your account settings or by contacting us at support@mygrantcopilot.com.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state courts located in Hartford County, Connecticut. You and Ira Revels Consulting, LLC agree that any claim or dispute will be brought individually and not as part of a class action or class arbitration.
